曾就职于某港股上市企业，负责和参与跨境商务谈判、国际商事仲裁和处理日常各类国际贸易法律文书。执业聚焦于民商事争议解决、跨境商事仲裁、刑事合规与风险管控、国际贸易与供应链的实务与研究，擅长跨区域法律事务协作和处理。

（1）知识产权。参与协同英国律师事务所完成知识产权专利申请，参与权利要求书、说明书及摘要等申请文件的起草及提交，应对英国知识产权局审查意见回应。

（2）国际仲裁。代理在中国国际经济贸易仲裁委员会（CIETAC）的跨国商事仲裁，获得仲裁委支持，为客户止损合同货款上千万美元奠基。

（3）出海合规。某上市公司经济制裁与出口管制合规体系及国际贸易业务风险防控体系搭建项目、某央企集团合规体系建设项目。

（4）尽职调查与投资并购。主持参与多项跨境尽职调查，协助客户掌握债务人财产情况，推进债务重组谈判和实施，追回上百万元人民币；参与内地公司并购香港公司法律尽职调查和法律意见出具；参与某上市公司及其子公司与美国上市公司及其新加坡全资子公司股权转让及债转股项目。

Profile

Petrichor Tsang is a full-time (associate) lawyer at Hunan Tongcheng Law Firm, holding a Master of Laws (LL.M.). He work bilingually in Chinese and English, have been selected as a Changsha “Foreign-Related Lawyer Talent Development” candidate, and he also serve as a corporate in-house training lecturer and an off-campus practice mentor at Hunan University of Commerce.

Previously, he worked with a Hong Kong–listed company, where he handled and supported cross-border commercial negotiations, international commercial arbitration, and the drafting/review of a wide range of international trade legal documents.

His practice focuses on civil and commercial dispute resolution, cross-border commercial arbitration, criminal compliance and risk management, and the practical and academic aspects of international trade and supply chains. He experienced in coordinating multi-jurisdictional matters and delivering pragmatic, business-oriented solutions.

Representative Matters

1. Intellectual Property (UK)

Coordinated with a UK law firm on patent application matters, including drafting and filing key application documents (claims, specification, and abstract), and assisting in responding to examination opinions issued by the UK Intellectual Property Office (UKIPO).

2. International Arbitration (CIETAC)

Represented a client in a cross-border commercial arbitration before the China International Economic and Trade Arbitration Commission (CIETAC). The tribunal’s support provided a strong basis for the client to mitigate losses relating to contract payments amounting to tens of millions of USD.

3. Outbound Compliance (“Going Global”)

Supported compliance framework projects involving economic sanctions and export controls, as well as international trade risk-control systems for a listed company; also participated in group-wide compliance system development for a central state-owned enterprise group.

4. Due Diligence, Restructuring & M&A

Led and participated in multiple cross-border due diligence matters, helping clients identify debtor assets, advance debt restructuring negotiations and implementation, and recover over RMB 1 million. Participated in legal due diligence and issuance of legal opinions for PRC companies acquiring Hong Kong companies; and contributed to equity transfer and debt-to-equity swap transactions involving a PRC listed company (and its subsidiaries) and a U.S.-listed company (and its Singapore wholly owned subsidiary).
